1) Scope of Services:

The company agrees to provide pneumatic and hydraulic equipment in our scope, as well as associated service and maintenance contracts, to the customer.

2) Equipment Specifications:

All pneumatic and hydraulic equipment provided will meet the specifications and standards outlined in the product documentation. Any customization or modifications must be mutually agreed upon and documented in writing.

3) Service and Maintenance Obligations:

The company will perform routine service and maintenance on the supplied equipment as per the agreed schedule failing to do service on time will lead to warranty invalid. Emergency maintenance services will be provided promptly to minimize downtime.

4) Warranty and Returns:

All equipment is covered by the manufacturer’s warranty. Any defects or non-conformities discovered within the warranty period will be addressed promptly. Returns must comply with the company’s return policy. Excluding electrical products.

5) Payment Terms:

Payment terms, including invoicing, due dates, and accepted payment methods, are specified in the agreement. Failure to make timely payments may result in suspension of services and a late payment fee.

6) Contract Duration and Termination:

The agreement is valid for a specified duration, and either party may terminate the contract with written notice for material breach or insolvency. Termination fees, if any, will be outlined in the agreement.

7) Confidentiality:

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the agreement period. This includes technical details, pricing information, and business strategies.

8) Insurance:

The customer must maintain appropriate insurance coverage for the equipment. The company shall not be held responsible for any loss or damage not covered by the customer’s insurance. All goods left in the shop shall be the responsibility of the customer.

9) Force Majeure:

Neither party shall be liable for delays or failures to perform obligations due to circumstances beyond their control, including but not limited to natural disasters, acts of terrorism, and government actions.

10) Governing Law and Dispute Resolution:

The agreement is governed by the laws of the Republic of South Africa. Any disputes arising from the agreement shall be resolved through arbitration in accordance with the rules and the decision of the arbitrator shall be final and binding.
